The Guinness Partnership Limited ("TGPL") was formed on 27 July 2012 following the amalgamation of Guinness Northern Counties Limited, Guinness Trustees Limited, Guinness South Limited and Guinness Hermitage Limited (the "Associations"). The amalgamation took place in accordance with section 50 of the Industrial and Provident Societies Act 1965 and by operation of law all of the property of each of the Associations became vested in TGPL. TGPL is now one of the largest affordable housing and care providers in the United Kingdom.

As a result of the amalgamation, with effect from 4 September 2012, TGPL shall be substituted as the listed issuer of the 7 1/2% first mortgage debenture stock due 30/11/2037 issued by Guinness Trustees Limited (ISIN Code GB0001854792) and the 9 1/8% guaranteed secured stock 2025 issued by Guinness Northern Counties Limited (ISIN Code GB0006467723).
