Termination of Discussions with Palmer Street Limited and Lifting of Suspension of Trading

The Board of MAC III announces that discussions with Palmer Street Limited ("Palmer") regarding a potential combination, as announced on 9 October 2025, have been terminated by mutual agreement.

Palmer continues to make significant commercial progress, securing a number of material new client mandates and delivering revenue growth across its operations in Jersey, Luxembourg, Spain and the UK.

Given this momentum and Palmer's focus on capitalising on its organic growth opportunities, the near-term requirement for third-party capital is limited. MAC III and the Palmer management team have therefore concluded that a public listing would be premature at this stage. Marwyn Investment Management LLP, as the fund manager of Palmer's sole institutional investor, will continue to work alongside the Palmer team on an ongoing basis.

Lifting of Suspension

Further to the Company's announcement of 9 October 2025 regarding the temporary suspension of the listing, the Company has applied to the FCA pursuant to UK Listing Rule 21.4.3 for the suspension of trading in its Ordinary Shares of no par value on the FCA Official List to be lifted. A further announcement will be made in due course.

MAC III continues to pursue its stated strategy of identifying and acquiring businesses positioned to benefit from structural change driven by the ongoing acceleration of digitalisation across a variety of sectors. The Company remains well capitalised and the Board is actively evaluating opportunities consistent with this mandate.
