Thomas Cook Group plc Announces Tender Offer for its 6.75% Guaranteed Notes due 2015
11 February 2015. Thomas Cook Group plc (the "Company") announces today that it is offering to purchase for cash (the "Tender Offer") any and all of its €400,000,000 6.75 per cent. Guaranteed Notes due 2015 (ISIN: XS0504303164) (the "Notes") validly tendered from holders of the Notes ("Noteholders") as further described in the tender offer memorandum dated 11 February 2015 (the "Tender Offer Memorandum").
The Tender Offer begins on 11 February and will expire at 4:00 p.m., London time, on 19 February 2015, unless extended or earlier terminated by the Issuer (such time and date, as the same may be extended, the "Expiration Date") (the "Offer Period"). The Company will announce the final results of the Tender Offer as soon as practically possible on 20 February 2015. Noteholders must validly tender their Notes, and not validly withdraw their Notes, at or prior to the Expiration Date in order to receive the Purchase Price (as set forth below) on the Settlement Date (as defined below).
The Company offers to purchase the Notes at a price of 101.85 per cent. of the principal amount of the Notes purchased from each Noteholder (rounded to the nearest euro) (the "Purchase Price"). The amount payable per €1,000 principal amount of the Notes will be the sum of (i) the relevant Purchase Price in respect of the Notes (expressed as a percentage) multiplied by €1,000 together with (ii) accrued and unpaid interest on the €1,000 in principal amount of the Notes from, and including, 22 April 2014 up to, but excluding, 23 February 2015 or, in the event of an extension of the Offer Period, on such later date as is notified to the Noteholders by the Company (the "Settlement Date") ("Accrued Interest").
The Tender Offer is subject to the terms and conditions set forth in the Tender Offer Memorandum. The Company reserves the right, in its sole discretion, to waive any and all conditions.

The purpose of the Invitation is for the Company to manage pro-actively its upcoming debt redemption.
