Further to our announcement of 17 August 2007, Synchronica plc(AIM: SYNC.LN), the mobile synchronisation and device managementcompany, announces that it has exercised its option to acquiresubstantially all intellectual property (IP) assets and licensecontracts of David Rauschenbach t/a GoodServer, a provider of e-mailenablement and integration technologies. £ As previously stated, Synchronica bought an option to 31st October2007 (the "Call Option") to acquire the IP assets. The considerationfor the Call Option was GBP 75,000 satisfied in cash. Synchronica hasnow exercised the Call Option for a consideration of GBP 125,000payable in cash plus GBP 300,000 payable in 3,870,968 new ordinaryshares of 1p each at a price of 7.75p per share ("ConsiderationShares"). The Considerations Shares, which will rank pari passu withthe existing ordinary shares, are expected to commence trading on 31October 2007. £ The IP acquired is an integral part of Synchronica's MobileGateway, the Push Email and synchronisation solution, enabling mobileemail for mass-market mobile phones. Under the terms of the agreement,Synchronica will be the sole owner of GoodServer's IP and will havethe benefit arising from all licenses previously granted.
