Asia Resource Minerals plc ("ARMS" or the "Company")

 

Suspension of Trading in Listed Shares of PT Berau Coal Energy Tbk

 

The Company notes the decision of the Indonesian Stock Exchange of yesterday, Monday 4 May 2015, to suspend trading in the listed shares of the Company's 84.7% owned subsidiary, PT Berau Coal Energy Tbk ("PT Berau"), which is the Indonesian holding company of the Company's main coal producing operations.

 

The Company notes that an extraordinary general meeting of the members of PT Berau ("EGMS") was convened and held on Thursday 30 April 2015. The EGMS was conducted in good order and resolutions were passed, with the support of the Company, that formally changed the composition of the Board of Commissioners and the Board of Directors of PT Berau so as to:

 

· appoint Mangantar Marpaung as the new President Commissioner, replacing Bob Kamandanu;

· appoint Iskak Indra Wahyudi as the new President Director, replacing Amir Sambodo; and

· appoint Melli Darsa as a new Commissioner.

 

The former President Director, Amir Sambodo, gave the Company on 25 March 2015 his resignation in writing from his position as chief executive officer of the Company and also from all other positions within the ARMS group, including PT Berau. Mr Sambodo has, however, subsequently been responsible (together with a person known as Ari Ahmad Effendi who is (invalidly) purporting to act as the Corporate Secretary of PT Berau) for the issue of misleading announcements on behalf of PT Berau into the Indonesian market regarding the supposed invalidity of the EGMS and the resolutions passed there.

 

The Company has received Indonesian legal advice that all resolutions proposed at the EGMS were properly and validly passed and allegations of the invalidity of the EGMS are flatly denied. The EGMS was convened with the assistance and in the presence of the requisite professionals (registered with the Indonesian Financial Services Authority (OJK)) being a Notary, Legal Consultant, and the Company's Share Registrar. Finalisation and lodgement of the Notary's minutes of EGMS with the Indonesian Ministry of Law and Human Rights is expected shortly. This has been communicated with the Indonesian Financial Services Authority (OJK) and the Indonesian Stock Exchange (IDX).

 

The Indonesian Stock Exchange has, however, taken the view that the conflicting statements being issued is creating confusion in the Indonesian market, and has taken the step of suspending trading in the shares of PT Berau.

 

The Company is confident that the situation described above will shortly be resolved and that this will result in the resumption of trading in the shares of PT Berau. The Company continues to take all reasonable steps available to assert and enforce the results of the EGMS of PT Berau and the Company's procedures, systems and controls in relation to PT Berau, especially in response to the recent conduct of Messrs Sambodo and Effendi in purporting to seek to continue to speak and act on behalf of PT Berau, which the Company has been advised, and itself considers to be, quite contrary to law.
