Borland Software Corporation -
Successful outcome of shareholder vote
The Board of Micro Focus International plc ("Micro Focus") notes the successful outcome of the shareholder vote held yesterday by Borland Software Corporation ("Borland") relating to the proposed acquisition of Borland by Micro Focus (the "Acquisition"). The Acquisition has been approved by Borland shareholders, with approximately 99% of all votes cast in favour of the $1.50 cash offer. The Micro Focus General Meeting to approve the Acquisition will be held at 9am on 24 July 2009 at The Lawn, 22-30 Old Bath Road, Newbury, Berkshire, RG14 1QN. Subject to approval by Micro Focus shareholders, the Acquisition is expected to close shortly thereafter.
