Substitution of Issuer

Pursuant to the merger of Skipton Building Society and Scarborough Building Society under section 94 of the Building Societies Act 1986 on 30 March 2009 (the Effective Date), the property, rights and liabilities of Scarborough Building Society will pass to Skipton Building Society.

On the Effective Date, the following liabilities of Scarborough Building Society will become liabilities of Skipton Building Society and Skipton Building Society shall be viewed as the Issuer of these securities.

 

(a) issue of 6.875 per cent. PIBS issued on 11 April 2007 (ISIN: GB00B1VYCN43);

(b) an issue of 5.875 per cent. Subordinated Notes issued on 29 November 2005 and due  1 December 2015 (ISIN: XS0236960885); and

(c) an issue of 8.50 per cent. PIBS issued on 18 April 2000 (ISIN: GB0004440623).
