Substantial shareholding and PDMR shareholding

NEX Group plc (the Company)

Notification of major interest in shares and person discharging managerial responsibility (PDMR) shareholding

On 21 December 2016, the Company was notified that, following the ICAP scheme of arrangement which became effective on 15 December 2016 (resulting in shareholders of ICAP plc receiving one NEX Group plc ordinary share for each ordinary share held in ICAP plc), the following parties together hold a 16.54% interest in NEX Group plc:

- Michael Spencer;

- IPGL (Holdings) Limited;

- IPGL Limited;

- Intercapital Brokerage Services Limited;

- INCAP Finance BV; and

- INCAP Overseas BV.

There was no change in the number of shares held by the above parties which remained as follows:

- Michael Spencer 3,989,383 ordinary shares;

- IPGL Ltd 350,000 ordinary shares via a contract for difference;

- INCAP Finance BV 59,819,560 ordinary shares; and

- INCAP Overseas BV 45,750,000 ordinary shares.

Michael Spencer owns a majority shareholding in IPGL (Holdings) Limited and is deemed to be interested in all the shares in NEX Group plc held by IPGL Limited, INCAP Finance BV and INCAP Overseas BV, which are wholly owned subsidiaries of IPGL (Holdings) Limited. 

Michael Spencer has a total interest in NEX Group plc of 109,908,943 shares, 16.54% based on total voting rights of 664,537,006.
