Substantial shareholding and PDMR shareholding

NEX Group plc (the Company)

Notification of major interest in shares and person discharging managerial responsibility (PDMR) shareholding

On 3 January 2017, the Company was notified that the following persons closely associated with Michael Spencer had acquired shares in NEX Group plc:

- IPGL Limited 158,892 ordinary shares acquired on 30 December 2016 (at a purchase price of £4.599056 per share);

- IPGL Limited 193,928 ordinary shares acquired on 3 January 2017 (at a purchase price of £4.753415 per share); and

- Mrs Sarah Spencer 53,000 ordinary shares acquired on 3 January 2017 (at a purchase price of £4.70 per share).

Following the above share purchases and, where applicable, the NEX Group plc share consolidation which became effective on 30 December 2016 (pursuant to which every 7 NEX Group plc shares of 10 pence each on the register of members of NEX Group plc as at 6:00 p.m. on 29 December 2016 were consolidated into 4 NEX Group plc ordinary shares of 17.5 pence each), the parties below have the following interests in NEX Group plc shares:

- Michael Spencer 3,729,600 ordinary shares (this includes shares held in the NEX Group Employee Share Trust) and 57,142 ordinary shares via a contract for difference;

- Mrs Sarah Spencer 53,000 ordinary shares;

- IPGL Limited 352,820 ordinary shares and 199,999 ordinary shares via a contract for difference;

- INCAP Finance BV 34,182,605 ordinary shares; and

- INCAP Overseas BV 26,142,857 ordinary shares.

Michael Spencer owns a majority shareholding in IPGL (Holdings) Limited and is deemed to be interested in all the shares in NEX Group plc held by IPGL Limited, INCAP Finance BV and INCAP Overseas BV, which are wholly owned subsidiaries of IPGL (Holdings) Limited. 

Michael Spencer has a total interest in 64,718,023 NEX Group plc shares, 17.04% based on total voting rights of 379,735,432.
