Subscription to raise approximately £1.7 million

 

Weatherly International plc (LSE: WTI) is pleased to announce that it has conditionally raised approximately £1.7 million by way of a subscription of 43,300,000 new Ordinary Shares of 0.5p each (the "Subscription Shares") with Logiman CC ("Logiman") at a price of 3.95 pence per Subscription Share (the "Subscription Price").

The proceeds of the issue of the Subscription Shares will be used to for general working capital and to strengthen the Company's balance sheet going forward.

Logiman are supplying the Company with project management services for the plant construction at the Tschudi copper project which is due to deliver first copper in the second quarter of 2015.

Further Details on the Subscription

The Subscription proceeds will be received by no later than 17 June 2014. The Subscription Shares will represent approximately 7 per cent of the Company's enlarged issued ordinary share capital of 616,605,145 Ordinary Shares immediately following completion of the Subscription. The Subscription Price represents a premium of approximately 44% per cent to the Closing Price of 2.75 pence per Ordinary Share as at 30 May 2014 (being the last business day prior to the announcement of the Placing).

Application will be made to the London Stock Exchange for the admission of the Placing Shares to trade on AIM ("Admission"). It is expected that Admission will become effective on 18 June 2014 and that dealings in the Subscription Shares will commence at 8.00 a.m. on that date.

The Subscription is only conditional upon Admission of the Subscription Shares becoming effective.

The Subscription Shares will be issued credited as fully paid and will rank in full for all dividends and other distributions declared, made or paid after the Admission and will otherwise rank on Admission pari passu in all respects with the existing Ordinary Shares in the capital of the Company.

Total Voting Rights

Following Admission of the Subscription Shares, Weatherly's issued share capital and total voting rights will consist of 616,605,145 Ordinary Shares. The total voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
