Strengthening the Board and the management

Sub:  Reliance Infrastructure Ltd strengthens its Board and Management

Dear Sirs,

1. The Board of Reliance Infrastructure Ltd (RInfra) has taken the following decisions today with a view to strengthening the Board and the management of RInfra.

1.1 The Board has today appointed Dr. V K Chaturvedi, former Chairman and Managing Director of Nuclear Power Corporation of India Ltd and former Member of the Atomic Energy Commission, Government of India as non executive director on the Board of the Company.

1.2 The Board has recently appointed Shri C P Jain, former Chairman and Managing Director of NTPC Ltd and Shri S S Kohli, former Chairman and Managing Director of Punjab National Bank and former Chairman and Managing Director of India Infrastructure Finance Company Limited as independent directors on the Board of the Company.

Shri K Ravi Kumar, former Chairman and Managing Director of Bharat Heavy Electricals Ltd will join the Board shortly as an independent director.

1.3 With a view to bifurcating the executive responsibilities from board membership ,

Shri Lalit Jalan and Shri S C Gupta have stepped down from the Board . Shri Lalit

Jalan has been designated as Chief Executive Officer of Reliance Infrastructure

Limited and Shri S C Gupta has been designated as Chief Executive Officer of

Engineering, Procurement and Construction (EPC) business of RInfra.

1.4 In accordance with the corporate governance policy of the Group and in line with the

recommendatory provisions of the listing agreement, Gen V P Malik, Shri S L Rao and

Dr. Leena Srivastava have completed 3 terms of 3 years aggregating 9 years and

consequently stepped down from the Board of the Company.

2. The Board of Directors have today also decided to appoint Shri Ramesh Shenoy as Manager of the Company under the relevant provisions of the Companies Act, 1956.
