STRATEGIC PARTNERSHIPS WITH MAJOR AGRIBUSINESS AND
FOOD INGREDIENTS BUSINESSES
- partnerships set to strengthen PureCircle's supply chain and accelerate sales and distribution capabilities
- investment vehicle purchases 20% shareholding in PureCircle and will appoint a director to the Board
The Board of PureCircle is pleased to announce that it has agreed to enter into strategic partnerships with Wilmar International Limited ("Wilmar") and Olam International Limited ("Olam") (collectively "the Partnerships").
In connection with the transaction, Wilmar and Olam through a 50:50 owned investment vehicle Olam Wilmar Investments Holdings Limited ("OWIH"), has purchased a 20% shareholding in PureCircle and will have a seat on PureCircle's Board.
Strategic Partnerships
Wilmar is Asia's leading agribusiness group, engaged in the origination and processing, through to branding, merchandising and distribution of a wide range of agricultural products. Headquartered in Singapore, its operations are located in more than 20 countries across four continents, with a primary focus on Indonesia, Malaysia, China, India and Europe.
Olam is a leading, global integrated supply chain manager of agricultural products and food ingredients. It is well known for its strong origination skills, marketing and solutions, risk management, and trading and distribution expertise. Olam has extensive interests in 56 countries across Africa, Asia and Middle East, Americas and Europe.
Olam and Wilmar are both listed on the mainboard of the Singapore Exchange with a combined market capitalization of more than US$25 billion.
Wilmar and Olam will bring their substantial experience in agribusiness origination, processing and merchandising to support and accelerate the fast growth of PureCircle's natural sweeteners business. In particular, the Partnerships will focus on strengthening further PureCircle's market leading global supply chain capacity and accelerating the Company's sales with OWIH's global sales and distribution network.
The Partnerships will seek to increase stevia production globally through developing new plantations and expanding stevia extract facilities whilst PureCircle's supply chain will be strengthened by having access to the Partnership's extensive and efficient purchasing, warehousing and logistics capabilities, particularly in China.
Equity Investment
On 1 July 2008, OWIH purchased 26,544,609 shares (20% of the issued capital) in PureCircle. 23,728,155 shares were purchased from Asian Investment Partners Limited and Artur and Aslan Tomov and 2,816,454 shares from PrimePartners Asia Merchant Capital Holdings Limited at a price of £2.01 per share.
In view of the nature of the transaction, the lock-in arrangement relating to Mr Aslan Tomov's shareholdings was waived by the Company's broker. Through the transaction, Asian Investment Partners Limited and Artur and Aslan Tomov have disposed of substantially all their shareholdings in PureCircle and their combined holding is now below 1% of the Company's issued share capital. PrimePartners Asia Merchant Capital Holdings Limited has also ceased to be a substantial shareholder in PureCircle.
Board Changes
On completion of the Partnerships, Mr Kuok Khoon Hong, the Chairman and CEO of Wilmar, will be appointed to the PureCircle Board as a Non Executive Director.
Also on completion, Mr Aslan Tomov will resign as an Executive Director of PureCircle.
Commenting on the transaction, Paul Selway-Swift, Chairman of PureCircle, said:

Commenting on Mr Aslan Tomov's resignation, Magomet Malsagov, Managing Director of PureCircle, said:

About PureCircle
Listed on the AIM market in London since December 2007 with a current market capitalisation of US$507 million, PureCircle markets a range of natural high intensity sweeteners internationally operating from an integrated supply chain. Activities range from sourcing of dry stevia leaves and extraction in China, refining of crude extracts into sweeteners in Malaysia and marketing of these sweeteners to food and beverage manufacturers worldwide. PureCircle holds patents for processing stevia extracts into Reb-A, a natural sweetener with purity of up to 97%, the purest form of natural sweeteners available in the market today.
The global high-intensity sweetener ("HIS") market, estimated at US$1 billion, has been growing at an average rate of 4% per annum. Artificial non-caloric sweeteners such as aspartame, sucralose, saccharin and cyclamate currently dominate the HIS market but faces the threat of being substituted by natural sweeteners as consumers become increasingly concerned over the side effects of consuming artificial sweeteners and are seeking natural alternatives for a healthier diet.
The majority of the consumption of these low/zero calorie, high-intensity sweeteners comes from North America and Europe which account for 44% and 21% out of total consumption. Artificial sweeteners currently dominate the HIS market. Stevia-based sweeteners are not yet permitted for use as a food ingredient in the US and Europe. Stevia-based sweeteners have already been accepted as a food ingredient in other parts of the world including China, Japan, Korea, Taiwan, Brazil, Paraguay, Colombia and Argentina as well as Malaysia, Vietnam, Indonesia and Thailand, all which are large and growing economies.
In addition PureCircle's product range lends itself well for complementary use with sugar, thereby opening up larger markets than just the current synthetic HIS markets. The market for the natural Reb-A based sweeteners is therefore expected to grow significantly due to substitution of artificial sweeteners and sugar once regulatory approval has been obtained in the US and Europe.

Mr Kuok Khoon Hong
Mr Kuok Khoon Hong, aged 59, is the Co-founder, Chairman and CEO of Wilmar International Limited. He is in charge of overall management, operations, directions and strategic operations, with a particular focus on new business developments. He has extensive experience in the industry and has been involved in the grain, edible oils and oilseed business since 1973.
Mr Kuok has completed many projects involving the establishment of oil palm plantation in Asia and the processing of grains, edible oils and oilseeds. He has held several key executive positions in various companies, including General Manager of Federal Flour Mills Bhd from 1986 to 1991, and Managing Director of Kuok Oils & Grains Pte Ltd from 1989 to 1991.
Mr Kuok graduated from the then University of Singapore with a Bachelor of Business Administration degree.
No additional disclosures are relevant to the appointment of Mr Kuok Khoon Hong under Schedule Two of the AIM Rules.
