Roger Parry11 October 2006 11 October 2006 ROGER PARRY STATEMENT REGARDING ITV PLC ("ITV") Further to recent press statements, Roger Parry announces that he has nointention to make an offer for ITV.* * Pursuant to Rule 2.8 of the City Code on Takeovers and Mergers ("City Code"),Roger Parry reserves the right to set aside the statement above if any of thefollowing events occurs: (i) ITV announcing that it is in discussions which mayor may not lead to an offer for the company or formally inviting an offer forthe company, (ii) a third party announcing a possible offer or a firm intentionto make an offer for ITV, (iii) the agreement or recommendation of the board ofITV, (iv) ITV undertaking or announcing an intention to undertake any materialrecapitalisation of the company (where "material" is defined as 10% or more ofITV's equity market capitalisation as at the close of business on the date ofthis announcement) or disposal of a material amount (where "material amount" isas defined in Note 2 on Rule 21.1 of the City Code), (v) ITV announcing awhitewash proposal or a reverse takeover, (vi) the appointment by the company ofa new chief executive officer or (vii) there is a material change incircumstances.
