Recommended Acquisition of Cable & Wireless Communications Plc ("CWC") by Liberty Global plc

Disclosure of total Cable & Wireless Communications Plc shares in issue pursuant to Rule 2.10

In accordance with Rule 2.10 of the City Code on Takeovers and Mergers (the "Code"), CWC confirms that as at close of business on 9 May 2016, it has in issue outside treasury a total of 4,433,222,313 ordinary shares of US$0.05 each that are admitted to trading on the main market of the London Stock Exchange. The ISIN for Cable & Wireless Communications Plc's shares is GB00B5KKT968.

The total number of shares attracting voting rights in CWC is therefore 4,433,222,313. This figure may be used by shareholders to determine the percentage of issued share capital they hold in CWC.
