Existence, maximum size and conditions of use of over‑allotment facility: | In connection with its stabilising activities Nationwide has granted J.P. Morgan, on behalf of the underwriters, an over-allotment option, exercisable, in whole or in part, at any time during the period commencing after the announcement of the Offer Price and ending on the business day falling immediately prior to the publication of the Prospectus, which if exercised, will require Nationwide to issue up to 15 per cent. of the aggregate number of CCDS available in the Offer (before any exercise of the Over-allotment Option) at the Offer Price to cover short positions arising from such over-allotments (if any) and/or sales of CCDS effected by it during the stabilising period. J.P. Morgan has agreed with Nationwide that any over-allotment of CCDS by it or any of its agents will be up to a maximum of 15 per cent. of the total number of CCDS comprised in the Offer (before any exercise of the Over-allotment Option). |

In connection with the offer of the above securities, the Stabilising Manager(s), or persons acting on behalf of the Stabilising Manager(s) may over-allot the securities or effect other transactions with a view to supporting the market price of the securities at a level higher than that which might otherwise prevail. However, stabilisation may not necessarily occur and any stabilisation action, if begun, may cease at any time, but it must end no later than the day falling 30 calender days after the date of allotment of the securities.
