("Bank Pekao S.A.") herebyinforms, that on 15th of November, 2006, the Supervisory Boards of Bank PekaoS.A. and Bank BPH S.A. have accepted and Management Boards of Bank Pekao S.A.and Bank BPH S.A have signed the "Spin-off Plan", acting in accordance with thesection 533 subsection 1and section 534 of the Code of Commercial Companies. Please find enclosed "Spin-off Plan of Bank BPH" with the attachments, asfollows: 1) draft resolution of the General Shareholders Meeting of Bank Polska Kasa Opieki S.A. on the integration Bank Pekao S.A. with BPH S.A., performed in a way of the spin-off of Bank BPH S.A. by transferring a part of Bank BPH S.A. property in a form of an organized part of enterprise to Bank Pekao S.A., 2) draft resolution of the General Shareholders Meeting of Bank BPH S.A. on the integration of Bank BPH S.A. with Pekao S.A., realized in a way of Bank BPH S.A. spin-off by transferring a part of Bank BPH S.A. property in the form of an organized part of an enterprise to Bank Pekao S.A. 3) draft amendments to the Statute of Bank Pekao S.A., 4) valuation of Bank BPH SA as of 1st of October, 2006, 5) the Statement including information regarding accounting items of Bank Pekao S.A. as at 1st October, 2006, 6) the Statement including information regarding accounting items of Bank BPH S.A. as at 1st October, 2006.
