("Asian Citrus" or "the Group")
NOTICE OF SGM
As announced on 28 August 2009, the Company has submitted its application for a new listing of the shares of the Company on the main board of The Stock Exchange of Hong Kong Limited ("HKEx") in addition to the Company's existing quotes on the AIM and PLUS markets in London.
A Special General Meeting of the Company, to be held at 4:30 p.m. (Hong Kong time) on 2 November 2009 (the "SGM"), is being convened in order to propose, among others, shareholder resolutions to subdivide the share capital, to adopt new Bye-Laws incorporating the changes required by the listing rules of the HKEx and to replace the existing share option plan which is conditional upon the HKEx listing becoming effective.
An explanatory circular and notice of SGM have today been posted to shareholders and will shortly be available on the Company's website (www.asian-citrus.com). Copies of the proposed new Bye-Laws and a version of the Bye-Laws showing the proposed changes to the existing Bye-Laws have also been made available on the Company's website (www.asian-citrus.com).
