Shire plc (the "Company") - Shire Executive Annual Incentive Plan
The Shire Executive Annual Incentive Plan ("the Plan") provides for annual awards to participants partly in cash, which is payable immediately, and partly in shares and ADSs , which will not be released for a period of three years.
On 30 March 2007, the trustee of the Shire plc Employee Benefit Trust (the "Trust") acquired 33,584 Ordinary Shares in Shire plc at a price of ‚£10.53 per Ordinary Share and 24,518 American Depository Shares ("ADS"s) in Shire plc at a price of USD62.1575 per ADS for use in relation to the Plan.
The Company's Executive Directors and persons discharging managerial responsibility, are potential beneficiaries of the Trust and are therefore deemed to have an interest in the Shares and ADSs held by the Trust.
