Shares in issue and admitted to trading on AIM
On 20 March 2014 the Company announced that the number of Ordinary Shares in issue and admitted for trading on the Australian Stock Exchange amounted to 882,149,127.
The Company has identified that application to trading on AIM in respect of in aggregate 7,975,343 Ordinary Shares ("Application Shares") was not made at the relevant time due to administrative oversights, as summarised below in the table below:

Application has therefore today been made for the Application Shares to be admitted to trading on AIM, which is expected to occur on or around 21 January 2015
The Application Shares rank pari passu with the existing Ordinary Shares.
The total number of Ordinary Shares in issue with voting rights remains unchanged at 882,149,127. This figure may be used by shareholders in the Company as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change of interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.

Issue of Shares to Allerton Horizon Limited
On 2 February 2007 the Company (which was then named Dwyka Diamonds Limited) announced that it had issued 6,475,343 Ordinary Shares to Allerton Horizon Limited in consideration for the acquisition of all of the shares in Danyland Limited. A copy of the announcement published via RNS on 2 February 2007 is reproduced below without material adjustment or amendment:
"Further to its announcements dated 17 January 2007 and 18 January 2007, the Company has issued 6,475,343 fully paid ordinary shares ('Shares') to Allerton Horizon Limited in consideration for the acquisition of all of the shares in Danyland Limited. Danyland Limited owns the Muremera nickel project located in Burundi. The issue of the Shares to Allerton Horizon Limited is in satisfaction of the first payment of US$2,000,000 under the Dannyland Limited acquisition agreement. The Shares were issued pursuant to a calculation based on the average volume weighted trading price for Dwyka Shares on the 5th trading day period prior to completion date. The completion date was 30 January 2007 and the average volume weighted trading price for Dwyka Shares was calculated as £0.157 (AUD$0.40). Application has now been made to the Alternative Investment Market of the London Stock Exchange ('AIM') for 6,475,343 Shares to be admitted to trading on AIM. Admission of the shares to trading on AIM is expected to occur at 8.00am on 8 February 2007."
Issue of Shares to an employee on appointment as remuneration
On 14 May 2010 the Company announced that it had issued 1,000,000 Ordinary Shares to Mr Terry Tucker on his appointment in a non-Board capacity as Chief Operating Officer. A copy of the announcement published via RNS on 14 May 2010 is reproduced below without material adjustment or amendment:
"The directors of Nyota are pleased to announce that Mr Terry Tucker will join the Company in a non-Board capacity as Chief Operating Officer ("COO") with immediate effect. Most recently Mr Tucker was President, CEO and Director of TSX-listed StrataGold Corporation, where he successfully advanced the exploration and development of projects in both Guyana and Canada before the company's acquisition by Victoria Gold Corp. Speaking today in relation to Mr Tucker's appointment, Nyota Chief Executive, Melissa Sturgess, said: "I am delighted to welcome Terry to the Company. We are rapidly advancing our Tulu Kapi Project toward development whilst also evaluating the very prospective land package which Nyota has optioned north of Tulu Kapi. It is vital that we have an experienced team in place to undertake this work in accordance with best practice to achieve optimal results. Terry brings a wealth of experience to the COO role and will be largely responsible for coordinating the Tulu Kapi development process in close consultation with me, the Board and senior management team. His exploration experience will also provide an invaluable contribution to the wider regional exploration effort that Nyota will be pursuing." Mr Tucker holds a Bachelor of Science degree, Specialising in Geology, and has over 24 years experience in the minerals and mining industry, including a number of prominent roles at strategic, operational and corporate levels. In addition to his role with StrataGold, he has previously held positions including Vice-President, Exploration with Expatriate Resources Ltd and President, CEO and Director of TSX-V listed Nickelodeon Minerals Inc. As part of his remuneration package, Mr Tucker will receive 1,000,000 Nyota ordinary fully paid shares at a deemed price of A$0.24, being the closing price of the Company's shares on ASX on 12 May 2010. The Company will issue these shares as soon as practicable."
Issue of Shares on exercise of options
On 5 July 2010 the Company announced that it had issued 500,000 Ordinary Shares following the exercise of options. A copy of the announcement published via RNS on 5 July 2010 is reproduced below without material adjustment or amendment:
"The Company has issued today 500,000 ordinary shares of the Company following the exercise June 30, 2010 options at $0.31 each. The $155,000 raised from this issue will be utilised as ordinary working capital."
