Shareholding in the Company and Total Voting Rights

In conformity with the Financial Services Authority's Disclosure and Transparency Rules the Company would like to notify the market of the following:

Pursuant to the Placing announced on 28 July 2011, 83,679,544 ordinary shares in the capital of the Company have been issued, allotted, credited as fully paid to institutional investors and admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities today at 08.00 a.m. (London time).

As a result of the Placing, the total issued share capital of Afren plc is 1,069,572,007 ordinary shares with voting rights. No ordinary shares are held in treasury. Therefore, the total number of voting rights in Afren plc is 1,069,572,007.

The above figure 1,069,572,007 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Afren plc under the FSA's Disclosure and Transparency Rules.
