Shareholder Return Program for FY2021-2023

The Board of Directors of Samsung Electronics Co., Ltd. ("SEC") (KS005930, KS005935, SMSN, SMSD) on January 28, 2021 authorized the following shareholder return program for FY2021-2023.

· SEC will return 50% of the free cash flow for the three-year term

from 2021 to 2023 to shareholders.

· SEC decided to increase the regular dividend from an annual total of

approximately 9.6 trillion won in 2018-2020 to approximately 9.8 trillion won

in 2021-2023.

· SEC will additionally return any remaining portion of the 50% of free cash flow

for the three-year term after paying out regular dividends.

Also, we will share the annual free cash flow at the close of each year's results.

If a meaningful amount of remaining portion has been generated, we will consider

returning part of it every year.
