Share plan award: monetary conversion to shares

SHARE AWARDS TO DIRECTORS

These notifications are made in accordance with DR 3.1.4.R.

2014 Bonus Share Plan Awards

Awards over ordinary shares of €0.0005 under the 2014 Bonus Share Plan have been made to the following directors.

These awards are based on a monetary award made in March 2014 for Andrew Sukawaty and Rupert Pearce and in June 2014 for Tony Bates when he joined the Company. This award was made to Andrew Sukawaty when he was Executive Chairman. The number of shares being awarded is based on the mid-point closing price of the share price on 6 March 2015 of £8.9075 per share, being the day after the announcement of the Company's full year results. Vesting will occur in 2016, 2017 and 2018.

The performance targets require achievement of revenues, operating expenses, capital expenditure on an accruals basis and the achievement of a minimum EBITDA level. These targets were all met and information will be included in the 2014 Annual Report. The monetary award converted in full to the number of shares set out below.
