Compass Group PLC30 September 2005 Compass Group PLC Fair Value of Pre 7 November 2002 Share Options 30 September 2005 The financial statements for the year ending 30 September 2005 will be reportedin accordance with United Kingdom generally accepted accounting principles ("UKGAAP"). Those for the year ended 30 September 2006 will be reported inaccordance with International Financial Reporting Standards ("IFRS") issued bythe International Accounting Standards Board ("IASB"). Comparative informationfor the year ended 30 September 2005 will be reissued on an IFRS basis, withappropriate reconciliations to the previously reported UK GAAP position andresults, in the first quarter of 2006. On transition to IFRS, the Group has elected to apply IFRS 2 "Share basedpayments" to those share-based payments granted before 7 November 2002 but notvested at the IFRS transition date (1 October 2004). The Group considers thatretrospective application before 7 November 2002 provides a better indication ofhow past and future results are affected in relation to the year on year levelof share option grants.
