Share Interests of Directors and Persons Discharging Managerial Responsibilities (PDMRs) 

The Company was notified on 23 June 2008 of the following acquisition of Premier Foods plc ordinary Shares of 1p each ("Shares") by a PDMR of the Company:

Bob Spooner, Group Operations Director

Acquired 17,000 Shares at £1.0175 per Share on 23 June 2008. Following the acquisition, his total holding is 25,000 Shares representing less than 0.01% of the Company's issued capital.
