Accordingly, and following consultation with certainprincipal shareholders after the announcement of interim results on 20 September2006, Autoclenz announces that performance share awards in the form of nominalcost options of 10 pence each in the Company have been granted today to thefollowing directors under the terms of the Autoclenz Share Option Plan: Director Role Number of shares over Option Total number of shares which options granted exercise now held under option price Grahame Rummery Chief Executive 110,000 10p 286,000 Trevor Clingo Finance Director 56,250 10p 176,250 The vesting of these options is subject to the achievement of demanding targetsfor compound growth in earnings per share over the period for the three yearsending 31 December 2009. If the options vest, the options may be exercisedduring the period to 2 November 2016. Nil consideration is payable in respect ofthe grant of options. At the same time as the above awards, the four principal divisional directors ofthe Group have each been awarded 30,000 performance shares on the same basis asthe awards described above.
