As a result of transactions on 19 December 2008 by the Advent Capital (Holdings) PLC Share Incentive Plan (an HMRC approved all employee share purchase plan adopted by the Company's shareholders on 9 April 2008), Brian Caudle, Keith Thompson and Trevor Ambridge, executive directors of the Company, have the following interests as a result of their participation in the Plan:-
