Issue and award of shares and grant of options over shares under the Brewin Dolphin Holdings PLC Senior Employee Matching Share Purchase Scheme

Brewin Dolphin Holdings PLC ("the company") announces that Halifax EES Trustees International Limited ("the trustee"), as trustee of the Brewin Dolphin Holdings PLC Employee Share Ownership Trust ("the Trust"), has today acquired by subscription and awarded shares and Brewin Dolphin Holdings PLC has granted options under the Brewin Dolphin Holdings PLC Senior Employee Matching Share Purchase Scheme ("the scheme") to employees of companies in the Brewin Dolphin group of companies, including the following Executive Directors:- Sarah Soar and Barry Howard (the "Executive Directors") and the following Persons Discharging Managerial Responsibility:- Angela Wright, Linda Cartwright, John Beeston, Philip Browne and Matt Collis (the "PDMR's") in relation to the company. The scheme, which is intended to encourage share retention by the participating employees, offers participating employees the opportunity to purchase shares in the company at current market value and receive a matching option to acquire shares at current market value.
On 24th July 2008 in Jersey, the trustee acquired by subscription and awarded to relevant participating employees 807,666 of the company's ordinary shares of 1p each ("shares") and on a matching one to one basis the company granted options to subscribe for 807,666 shares to relevant participating employees.
The shares have been issued to and awarded by the trustee nil paid at a price of 104.0p per share representing the market value of a share at the time of the issue and award (the average mid-market price of a share at the close of business on the three business days prior to 24th July 2008 was 104.0p). The full purchase price of the shares is payable to the trustee as set out in the scheme and in any event no later than 24th July 2015.
The options are over new shares of the company and may be exercised, subject to satisfaction of performance conditions, continued employment by a Brewin Dolphin company and retention of the related awarded shares from 24th July 2012, and otherwise as set out in the scheme, at a price of 104.0p per share (no payment was made on grant) normally at any time between 24th July 2012 and 24th July 2015 but otherwise as set out in the scheme including by reason of a change of control following a takeover. Save as set out in the scheme, the options may not be sold, transferred, charged or otherwise disposed of prior to exercise.
Information regarding the award of the shares and options to and the interests of the Executive Directors and the PDMR's mentioned above was received by the company on 24th July 2008.
Sarah Soar
Of the shares awarded and options granted, Sarah Soar was awarded 24,038 shares (0.0114% of the company's total issued share capital) and granted options to subscribe for 24,038 shares. The shares awarded are registered in the name of the trustee and will remain so subject to the terms of the scheme.
After the award of the shares and options Sarah Soar's total holding in the company will be 285,533 shares (0.1357% of the total issued share capital of the company, of these shares 61,111 are nil paid) and the total number of shares over which options are held by her will be 111,987 shares.
Barry Howard
Of the shares awarded and options granted, Barry Howard was awarded 24,038 shares (0.0114% of the company's total issued share capital) and granted options to subscribe for 24,038 shares. The shares awarded are registered in the name of the trustee and will remain so subject to the terms of the scheme.
After the award of the shares and options Barry Howard's total holding in the company will be 184,118 shares (0.0875% of the total issued share capital of the company, of these shares 116,026 are nil paid) and the total number of shares over which options are held by him will be 136,951 shares.
Angela Wright
Of the shares awarded and options granted, Angela Wright was awarded 24,038 shares (0.0114% of the company's total issued share capital) and granted options to subscribe for 24,038 shares. The shares awarded are registered in the name of the trustee and will remain so subject to the terms of the scheme.
After the award of the shares and options Angela Wright's total holding in the company will be 95,976 shares (0.0456% of the total issued share capital of the company, of these shares 24,038 are nil paid) and the total number of shares over which options are held by her will be 50,573 shares.
Linda Cartwright
Of the shares awarded and options granted, Linda Cartwright was awarded 24,038 shares (0.0114% of the company's total issued share capital) and granted options to subscribe for 24,038 shares. The shares awarded are registered in the name of the trustee and will remain so subject to the terms of the scheme.
After the award of the shares and options Linda Cartwright's total holding in the company will be 59,088 shares (0.0281% of the total issued share capital of the company, of these shares 39,138 are nil paid) and the total number of shares over which options are held by her will be 63,300 shares.
John Beeston
Of the shares awarded and options granted, John Beeston was awarded 24,038 shares (0.0114% of the company's total issued share capital) and granted options to subscribe for 24,038 shares. The shares awarded are registered in the name of the trustee and will remain so subject to the terms of the scheme.
After the award of the shares and options John Beeston's total holding in the company will be 30,191 shares (0.0143% of the total issued share capital of the company, of these shares 30,191 are nil paid) and the total number of shares over which options are held by him will be 46,880 shares.
Philip Browne
Of the shares awarded and options granted, Philip Browne was awarded 24,038 shares (0.0114% of the company's total issued share capital) and granted options to subscribe for 24,038 shares. The shares awarded are registered in the name of the trustee and will remain so subject to the terms of the scheme.
After the award of the shares and options Philip Browne's total holding in the company will be 24,038 shares (0.0114% of the total issued share capital of the company, of these shares 24,038 are nil paid) and the total number of shares over which options are held by him will be 28,038 shares.
Matt Collis
Of the shares awarded and options granted, Matt Collis was awarded 24,038 shares (0.0114% of the company's total issued share capital) and granted options to subscribe for 24,038 shares. The shares awarded are registered in the name of the trustee and will remain so subject to the terms of the scheme.
After the award of the shares and options Matt Collis's total holding in the company will be 24,038 shares (0.0114% of the total issued share capital of the company, of these shares 24,038 are nil paid) and the total number of shares over which options are held by him will be 31,538 shares.
