Bank Pekao SA13 November 2006 UNOFFICIAL TRANSLATION (13th November '06) Report 102/2006: Share allocation ratio of Pekao shares for BPH shareholders inconnection with intention to integrate Bank Pekao SA and BPH SA. The Management Board of Bank Polska Kasa Opieki S.A. ("Bank Pekao S.A."), herebyinforms that, at the board meeting held on November 12, 2006, in connection withthe intention to integrate Bank Pekao S.A. with Bank BPH S.A. in a way of BankBPH S.A.'s spin-off by transfer of a part of Bank BPH S.A. property in a form ofan organized part of enterprise to Bank Pekao S.A. in exchange of Bank PekaoS.A. shares, which will be taken up by the shareholders of Bank BPH S.A., it haspassed in agreement with the Management Board of Bank BPH S.A., a resolutiondetermining, for the purposes of the Bank BPH S.A.'s spin-off plan ("Spin-offPlan"), a share allocation ratio, i.e., a ratio according to which theshareholders of Bank BPH S.A. will take up the shares of Bank Pekao S.A. inrelation to Bank BPH S.A.'s spin-off. According to the share allocation ratiodetermined by the Management Board of Bank Pekao S.A., each shareholder of BankBPH S.A. will receive 3,3 of Bank Pekao S.A. shares for each share of BankBPH S.A. held, without affecting their shareholding in Bank BPH S.A. Details ofthe allotment of shares to Bank BPH S.A. shareholders will be provided in theSpin-off Plan. The Management Board of Bank Pekao S.A., hereby, informs that its intention isto agree with the Management Board of Bank BPH S.A. the Spin-off Plan, accordingto the provisions of law and after obtaining the corporate consents required inthe light of Bank Pekao S.A. Statute and the rules applied in the UniCreditBanking Group.
