Conversion of Series A Preferred Convertible Shares into Ordinary Shares

Frontera Resources Corporation (AIM: FRR), an independent oil and gas exploration and production company, today announces that YA II PN, Ltd. has submitted a notice to convert its 400, out of total of 7,200, Series A Preferred Convertible Shares into ordinary shares of the Company ("Conversion Notice"). Pursuant to the Conversion Notice, the conversion will be made at a price 0.151 pence per share and will result in the issue of 204,052,980 ordinary shares of US$0.00004 each in the Company ("Ordinary Shares"). Application will be made for the Ordinary Shares to be admitted to trading on AIM, which is anticipated to occur on 13 July 2017 ("Admission"). The Ordinary Shares will rank pari passu with existing ordinary shares of the Company.

Following Admission, the Company will have 11,382,826,673 ordinary shares in issue with voting rights. The Company does not hold any ordinary shares in treasury and accordingly there are no voting rights in respect of any treasury shares. The aforementioned figure of 11,382,826,673 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the disclosure requirements applicable to the Company.

The Company has been made aware that application for Admission of 5,457,538 treasury shares created in 2012 and cancelled on 4 February 2015 and 513,365,718 ordinary shares which formed part of a placing on 1 August 2016 was not made. Application for Admission has now been made. The issued share capital of the Company has been correctly notified to date and, accordingly, there will no change to the issued share capital as a result of this application.
