ContourGlobal Announces the Results of its Tender Offer for any and all of its Outstanding 5.125% Senior Secured Notes Due 2021 Held Pursuant to Regulation S
July 25, 2018 - Luxembourg: ContourGlobal Power Holdings S.A. (the "Offeror") today announced that its previously announced cash tender offer (the "Tender Offer") for any and all of its outstanding 5.125% senior secured notes due 2021 held pursuant to Regulation S (ISIN XS1433185755 / Common Code 143318575) (the "Notes") expired at 5:00 p.m., London time, on July 24, 2018 (the "Expiration Time"). As of the Expiration Time, €383,728,000 aggregate principal amount of the outstanding Notes (approximately 55%) were validly tendered and not withdrawn. Completion of the Tender Offer is subject to certain conditions. Settlement of the Tender Offer is expected to occur on July 26, 2018.
The Offeror has delivered a notice of redemption on July 17, 2018, subject to the conditions stated therein, in order to redeem any Notes outstanding following the consummation of the Tender Offer that are not purchased pursuant to the Tender Offer, including the Rule 144A Notes, at a cash redemption price equal to €1,025.63 per €1,000 principal amount of the Notes, plus accrued and unpaid interest to, but excluding, the redemption date of August 16, 2018.
