SECTION 430 (2B) COMPANIES ACT STATEMENT - ADRIAN RINGROSE
Following the announcement on 14 November 2016, Adrian Ringrose stepped down as Chief Executive and as a director of Interserve Plc at the close of business on 31 August 2017.
Payments and benefits
Pursuant to the arrangements set-out on pages 70 and 71 of the 2016 Annual Report (Directors' remuneration report) Adrian has been paid £325,593 in respect of basic salary for the period 1 September 2017 until 7 March 2018 and accrued but unused holiday entitlement.
Share awards
Awards granted under the 2006 and 2015 Performance Share Plans will, after application of the performance conditions, be increased to equal the number of shares to which he would have been entitled had the pro-rating been applied from 7 March 2018 (end of the notice period) rather than 31 August 2017 (cessation of employment).
