Royal & Sun Alliance Insurance Group plc Scrip Dividend Scheme Further to the announcement made on 28 November 2007, the Company will issue afurther 9,399,834 ordinary shares of 27.5p each to shareholders who have electedto receive new ordinary shares instead of a cash dividend, for the 2007 interimdividend. Application has been made to the UK Listing Authority for these shares to beadmitted to the Official List and to the London Stock Exchange for these sharesto be admitted to trading. The new ordinary shares will rank pari passu with theexisting issued shares of the Company. Dealings are expected to commence on 10thDecember 2007.
