Conister Financial Group plc31 January 2008 For immediate release 31 January 2008 Conister Financial Group plc ("CFG" or the "Company") Implementation of Scheme of Arrangement Admission to AIM The Board of CFG is pleased to confirm that the Scheme of Arrangement in respectof Conister Trust Plc has been fully implemented and that, with effect fromtoday, the entire issued share capital of CFG has been admitted to trading on AIM. The Company also confirms that, in response to Shareholder's views expressed atthe EGM held on 17 January 2008, it will not issue any Ordinary Shares at adiscount of greater than 10% to the prevailing market price of shares or makeany issue of Ordinary Shares over 20% of the then existing issued share capital,and that this policy will be the subject of a vote by members at the nextGeneral Meeting of the Company. For the purposes of the Disclosure and Transparency Rules of the FinancialServices Authority, the Board of CFG is required to notify the market of thefollowing: As at the date of this announcement, the Company's issued share capital consistsof 50,719,502 ordinary shares with a nominal value of 25p each, with votingrights ("Ordinary Shares"). The Company does not hold any Ordinary Shares inTreasury. Therefore the total number of Ordinary Shares in the Company with voting rightsis 50,719,502. The above figure of 50,719,502 Ordinary Shares may be used by shareholders inthe Company as the denominator for the calculations by which they will determineif they are required to notify their interest in, or a change to their interestin, the share capital of the Company under the Financial Service Authority'sDisclosure and Transparency Rules.
