Sale of shares from treasury

Further to its announcements on 12 February 2026 and 4 March 2026, the Company announces that Threadneedle Asset Management Holdings Limited ("TAMHL") agreed on 9 March 2026 to invest approximately £18.68 million in the Company through the re-issue (by way of a sale from treasury) of a total of 13,107,524 ordinary redeemable shares of £0.01 each in the capital of the Company ("Shares") at a price per Share equal to 142.57 pence (the "Issue Price"). The Issue Price is equal to the Company's prevailing unaudited Net Asset Value per Share. These Shares will rank pari passu with the existing Shares in issue.

It is expected that the re-issue of the relevant Shares, and commencement of dealings, will take place today, 10 March 2026.

Following this transaction, the Company will hold 258,768,113 of its Shares in treasury and will have 56,384,196 Shares in issue (excluding treasury Shares). Accordingly, the total number of voting rights in the Company following the re-issue will be 56,384,196.

The figure of 56,384,196 may be used by shareholders as the denominator for the calculation by which they may determine if they are required to notify their interest in, or change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.

TAMHL is an affiliate of Columbia Threadneedle Investment Business Limited, which acts as the Company's AIFM and investment manager, and of Columbia Management Investment Advisers, LLC, which performs delegated portfolio management services for the Company. On that basis, TAMHL is considered a related party of the Company under UK Listing Rule 8.1.11R and the sale of treasury Shares is a related party transaction falling within UK Listing Rule 8.2.1R.

The Board, which has been so advised by the Company's Sponsor, considers the terms of the transaction to be fair and reasonable as far as the Company's Shareholders are concerned.
