In light of these relationships, IMAChas been deemed to be an associate of Incisive Media for the purposes of the City Code on Takeovers and Mergers. Tim Weller Tim Weller is the Chief Executive of Incisive Media. He is also a member of the Advisory Board to Ingenious Ventures,which is the Investment Manager for IMAC. This Advisory Board provides guidance to the manager on matters relating tothe media sector and possible sub-sectors that are attractive for investment, but is not responsible for making specificinvestment decisions on behalf of IMAC. Tim Weller is not a member of the Ingenious Ventures Investment Committee, norwas involved in the decision taken to invest in Incisive Media. Neil Blackley Neil Blackley is a non executive director of IMAC. He is not a member of the Ingenious Ventures Investment Committee,nor was involved in the decision taken to invest in Incisive Media. He is also the Chairman of the Media Advisory Boardat Apax. However, in this capacity, he does not have direct responsibility for Apax's investments and he was not partof the Apax investment team that made the offer for Incisive Media, nor will have a role in the ongoing management ofthe Apax bid vehicle.
