Disclosure of U and I Group PLC ("U+I") securities in issue pursuant to Rule 2.9

In accordance with Rule 2.9 of the City Code on Takeovers and Mergers (the "Code"), U+I confirms that, as at the date and time of this announcement, it had in issue 125,431,713 ordinary shares of 50 pence each. U+I does not hold any shares in treasury. Therefore, the total number of voting rights in U+I is 125,431,713.
