In accordance with Rule 2.9 of the City Code on Takeovers and Mergers, Gemfields plc ("Gemfields") confirms that, as at the date of this announcement, it has 549,816,476 ordinary shares of one pence each in issue and admitted to trading on the AIM market of the London Stock Exchange.

Gemfields holds no ordinary shares in treasury.
