The Company announces for the purposes of Rule 2.9 of the City Code on Takeovers and Mergers that following the issue of 2,416,838 ordinary shares on 26 October 2018 it currently has in issue 75,867,231 ordinary shares of 5 pence each.

There are no shares held in Treasury. The ISIN code for the shares is GB0006573546.

The increase in the number of ordinary shares results from the issue of 2,416,838 ordinary shares to participants of the Harvey Nash Group plc Performance Share Plan ("PSP") on 26 October 2018 in order to satisfy share awards granted pursuant to the terms of the PSP.
