THIS IS AN ANNOUNCEMENT FALLING UNDER RULE 2.8 OF THE UK CITY CODE ON TAKEOVERS AND MERGERS (THE CODE).

VPS Healthcare ("VPS") announces it does not intend to make an offer for Al Noor Hospitals Group plc ("Al Noor")

On 20 October 2015, Al Noor stated that it had received a preliminary indication of interest from VPS. After a thorough assessment of the opportunity, VPS has concluded that the potential transaction would not be in the best interests of the company and accordingly VPS now confirms that it does not intend to make an offer for Al Noor.

This announcement is made in accordance with Rule 2.8 of the Code. As a result of this announcement, VPS will, except with the consent of the UK Panel on Takeovers and Mergers, be bound by the restrictions contained in Rule 2.8 of the Code.
