Royal & Sun Alliance Insurance Group plc (R&SA) announces that a resolution willbe proposed at the Annual General Meeting on 21 May 2007 for the appointment ofDeloitte & Touche LLP as its external auditor for the year ending 31 December2007. R&SA has enjoyed a long-standing and constructive relationship with its currentauditor, PricewaterhouseCoopers LLP. It is, however, R&SA's policy toperiodically review all major contracts, and this decision follows an extensivereview process. In accordance with Section 394 of the Companies Act 1985, PricewaterhouseCoopersLLP have confirmed that there are no circumstances connected with their ceasingto hold office that they consider should be brought to the attention of R&SA'sshareholders or creditors.
