Roc Oil Company Limited28 January 2005 28 January 2005 ROC OIL COMPANY LIMITED ("ROC") STOCK EXCHANGE RELEASE ROC COMPLETES PLACEMENT OF APPROXIMATELY 10 MILLION SHARES TO RAISE US$15 MILLION/A$20 MILLION Roc Oil Company Limited is pleased to announce the completion of the placementto raise US$15m/A$19.8m by the issue of a total of 9,900,990 fully paid ordinaryshares at $2.00 per share on 27 January 2005 to two established institutionalinvestors. The shares issued represent about 5.3% of the issued share capital of theCompany. ROC is issuing these shares without disclosure to investors under thefundraising provisions of Part 6D.2 of the Corporations Act and this notice isgiven pursuant to section 708A(5)(e) of the Corporations Act. As at the date ofthis notice, ROC confirms that it: • has complied with its financial reporting and auditing obligations under Chapter 2M of the Corporations Act and its continuous disclosure obligations under section 674 of the Corporations Act; and • has not excluded information from a continuous disclosure notice required to be given to the Australian Stock Exchange Limited under the Listing Rules which falls within the definition of excluded information in section 708A(7) and (8) of the Corporations Act.
