REVISED NOTICE OF ANNUAL GENERAL MEETING

AND

ADJOURNMENT OF ANNUAL GENERAL MEETING

Conduity Capital Plc (LSE: CCAP) announces that its Annual General Meeting ("AGM"), which was due to be held at the offices of Peterhouse Capital Limited, 80 Cheapside, London, EC2V 6EE at 10.00 a.m. on 27 July 2021, has been adjourned by the Chairman, pursuant to article 64.1 of the Company's Articles of Association, and is being moved to 10.00 a.m. on Wednesday 11 August 2021.

The Revised Notice is being sent by the Company because the UK Government has now announced that COVID-19 restrictions are to be released with effect from 19 July 2021, confirming that it is now possible for the Company to hold its AGM as an open meeting (i.e. shareholders can attend in person). Given that the Company believes that the AGM is an important forum for interaction with its shareholders, moving the date for the AGM will provide shareholders with more notice to enable them to attend the AGM in person if they so wish.

For the avoidance of doubt, none of the business to be conducted at the Annual General Meeting set out in the Original Notice has changed, but for the purposes of clarity, the business of the AGM is set out again in the Revised Notice of AGM. 

If you have already returned a hard copy Form of Proxy following receipt of the Original Notice you will need to appoint your proxy again using the instructions set out in the Revised Notice to ensure that your proxy is properly appointed and your votes are counted.

The Revised Notice of AGM has been published and will be available to view and download from the Company's website at www.conduitycapital.co.uk. It will also be posted to shareholders today.
