Stagecoach Group PLC30 May 2007 Stagecoach Group plc Return of Value: Redemption of B Shares and Purchase Offer 30 May 2007 In connection with the Return of Value, Stagecoach Group plc ("the Company") hastoday redeemed 253,584,435 B Shares (being those B Shares issued as a result ofShareholder elections for Alternative 2 (Immediate Capital Option)) for 63 penceper B Share, a total in aggregate of £159,758,194. Following this redemption,24,193,300 B Shares of 63 pence each remain in issue. In addition, Credit Suisse Securities (Europe) Limited hereby makes the PurchaseOffer, acting as principal, to purchase 365,219,584 C Shares that were issued inconnection with the Return of Value under Alternative 2 (Immediate CapitalOption) and in respect of which Shareholders, by electing for Alternative 2(Immediate Capital Option), have been deemed to have elected to accept thePurchase Offer. The Purchase Offer is to purchase such C Shares for 63 penceeach, free of all dealing expenses and commissions. The Purchase Offer has beenmade in the manner and on the terms set out in the circular to Shareholdersdated 23 March 2007 (the "Circular"). The amounts payable to Shareholders in respect of the redemption of the253,584,435 B Shares and the C Shares purchased under the Purchase Offer areexpected to be paid on 5 June 2007.
