Re: Return of cash and listing of new ordinary shares of Cairn Energy Plc

Call Warrants on Shares of Cairn Energy Plc (Series C) with ISIN Code ANN8135R7918 and SEDOL Code B5VXJS3 (the "Warrants")

Issued under the SGA Société Générale Acceptance N.V. Securitised Derivatives Programme as set forth in the Reference Document dated 2 September 2009 (the "Reference Document") as supplemented by a pricing supplement dated 16 April 2010 (the "Pricing Supplement")

The Issuer wishes to announce that following the shareholder approval of the return of cash at the general meeting of Cairn Energy Plc and the issuance of new ordinary shares in Cairn Energy Plc replacing the existing ordinary shares of Cairn Energy Plc the Issuer replaced the old ISIN code for Cairn Energy Plc with the new ISIN code (GB00B74CDH82) for the purposes of paragraph 11.2 of the Pricing Supplement and pursuant to Condition 22.2(b) (Distribution of Rights or Securities) of the Reference Document redefined and calculated a new Exercise Price of GBP 6.7926 for the purposes of paragraph 31.2 of the Pricing Supplement. Therefore, for the purposes of paragraph 19 (Cash Settlement Amount) of the Pricing Supplement, the Exercise Price shall be determined by taking into account such new Exercise Price of GBP 6.7926.

Capitalised terms used but not defined herein shall have the meaning given to them in the Reference Document as supplemented by the Pricing Supplement.
