Announcement Regarding the Results of

the Holding Company Review

Samsung Electronics Co., Ltd. (KS005930, KS005935, SMSN, SMSD) ("SEC") announced today the following results of its review on whether to transition to a holding company structure.

- As we announced in November 2016, SEC reviewed the company structure to determine if a holding company structure would create an optimal environment for sustaining growth and enhancing shareholder value.

- After reviewing with outside experts various legal, financial, and tax aspects from a neutral and independent point of view, SEC has concluded that creating a holding company will not help to strengthen business competitiveness and it would raise a number of issues.

- As such, the Board of Directors and the management have decided not to establish a holding company.
