Results of the Board of Directors on July 17, 2015
PJSC RusHydro (ticker symbol: MOEX, LSE: HYDR; OTCQX: RSHYY) announces that the Company's Board of Directors held a meeting on July 17, 2015.

The Board of Directors elected Sergey Ivanov, General Director, JSC Russian Energy Company, as Deputy Chairman of the Board of Directors of PJSC RusHydro.

In compliance with the Listing Rules of CJSC "MICEX Stock Exchange" and Corporate Governance Code of RusHydro the Board of Directors declared Maxim Bystrov, member of the Company's Board of Directors, an independent director.
The Board of Directors has formed new committees.
The Audit Committee, consisting of 3 members:
· Maxim Bystrov, member of the Board of Directors of PJSC RusHydro, independent director;
· Sergey Ivanov, member of the Board of Directors of PJSC RusHydro, independent director;
· Vyacheslav Pivovarov, member of the Board of Directors of PJSC RusHydro, independent director.
The Board elected Sergey Ivanov, member of the Board of Directors of PJSC RusHydro, independent director, as Chairman of the committee.
The Human resources and Reimbursement Committee consisting of:
· Maxim Bystrov, member of the Board of Directors of PJSC RusHydro, independent director;
· Sergey Ivanov, member of the Board of Directors of PJSC RusHydro, independent director;
· Vyacheslav Pivovarov, member of the Board of Directors of PJSC RusHydro, independent director.
The Board elected Vyacheslav Pivovarov, member of the Board of Directors of PJSC RusHydro, independent director, as Chairman of the committee.

The Board of Directors commissioned Evgeny Dod, Chairman of the Management Board - General Director of RusHydro, to develop (modify), approve and implement till November 16, 2015, the following internal documents of the Company:
· Regulations on investment and operating efficiency improvement and reduction of costs;
· Provisions on internal audit;
· Provisions on quality control management;
· Provisions on risk management;
· Provisions on procedure for development and implementation of innovative development programs.
The report on execution of the abovementioned commission as well as the information about execution of key performance indicators (KPI), long-term development program (LDP), approval and implementation of LDP and Regulation on KPIs should be submitted to the Federal Agency for State Property Management till November 30, 2015.
