RESULTS OF GENERAL MEETING/ISSUE OF SHARES

The Directors of Nyota Minerals Limited ('Nyota' or the 'Company') advise the following resolutions placed before shareholders at a General Meeting on 1 November 2010 were approved as follows:

Ordinary Resolution 1 as set out in the Notice of Meeting to Approve an Issue of Shares to investors procured by Ocean Equities Limited was passed by a show of hands. Proxy details in respect of this resolution were as follows:

i. there were 54,468,663 proxy votes in respect of which the appointments specified that the proxy vote for the resolution;

ii. there were 50,000 proxy votes in respect of which the appointments specified that the proxy vote against the resolution;

iii. there were 6,305,840 proxy votes in respect of which the appointments specified that the proxy abstain on the resolution;

Ordinary Resolution 2 as set out in the Notice of Meeting to Approve an Issue of Shares to investors procured by Bell Potter Securities Limited was passed by a show of hands. Proxy details in respect of this resolution were as follows:

i. there were 54,468,663 proxy votes in respect of which the appointments specified that the proxy vote for the resolution;

ii. there were 50,000 proxy votes in respect of which the appointments specified that the proxy vote against the resolution;

iii. there were 6,305,840 proxy votes in respect of which the appointments specified that the proxy abstain on the resolution;

Following this approval the directors have resolved to issue, upon clearance of funds, 134,942,307 fully paid ordinary shares at an issue price of $0.26 (GBP0.16) to clients of Ocean Equities Limited and Bell Potter Securities Limited to raise AUD35.08 million (GBP21.58 million).

Application has been made to the London Stock Exchange for the shares to be admitted to trading on AIM. It is expected that Admission will become effective and that dealings in the shares will commence at 8.00 a.m. on 2 November 2010.
