Edinburgh Oil & Gas PLC31 May 2005 Edinburgh Oil & Gas plc ("the Company") Results of Court Meeting and EGM At the Court Meeting of Scheme Shareholders held today, the Scheme, pursuant towhich Dyon UK Limited is to acquire the entire issued share capital of theCompany, was approved. Subsequent to the Court Meeting, an Extraordinary General Meeting of the Companywas held at which a special resolution approving the Scheme and amending theCompany's Articles of Association was passed. Subject to the Court of Session sanctioning the Scheme on 1 July 2005, the lastday of dealings in Ordinary Shares will be 1 July 2005, trading in OrdinaryShares on the London Stock Exchange's market for listed securities and thelisting of Ordinary Shares on the Official List will be suspended from the startof business on 4 July 2005 and, subject to the Scheme becoming effective on 4July 2005, cancelled with effect from the start of business on 5 July 2005.Subject to Court sanction on 1 July 2005, the Cash Consideration will bedispatched to Scheme Shareholders by no later than 18 July 2005. Terms used in this announcement shall have the same meaning as set out in theScheme document sent to shareholders on 6 May 2005.
