Results of Cash Offer

Further to the announcement on 20 January 2017 of the cash offer (the "Offer") for shares of B.S.D Crown Ltd. ("BSD") (as modified on 20 October 2016, 15 November 2016 and 14 December 2016), pursuant to which the Offeror currently offers to purchase up to 15 per cent of the issued and outstanding share capital of BSD, the Offeror is pleased to announce the results of the Offer:

Based on the information provided by the receiving agent, Capita Registrars Limited, a total of 8,729,488 shares representing 7.94 per cent of BSD's issued and outstanding share capital (excluding treasury shares), as at 18 January 2017, were validly tendered under the Offer.

The settlement of the cash consideration for shareholders who have validly tendered their shares is expected to be effected no later than 8 February 2017, subject to the conditions set out under the terms of the Offer, any of which may be waived by the Offeror at its sole discretion.
