Results of AGM
APR Energy plc (LSE:APR) held its Annual General Meeting (the "Meeting") today at the offices of JP Morgan Cazenove at Holborn Bars, 138-142 Holborn, London, EC1N 2NQ at 10.00 am. Further to the Resignation of director announcement on 22 April, Resolution 9 was not put to the Meeting. All resolutions put to the Meeting were passed on a show of hands.
Resolutions 1 to 8 and 10 to 16 related to Ordinary Business. Resolutions 17 to 23 related to Special Business, and are summarised below:
Resolution 17: To extend the authority to allot shares pursuant to section 551 of the Companies Act 2006.
Resolution 18: To empower the Directors to allot shares pursuant to sections 570 and 573 of the Companies Act 2006, as if the pre-emption rights in section 561 did not apply.
Resolution 19: To grant the directors the authority to make market purchases of the Company's shares pursuant to section 701 of the Companies Act 2006.
Resolution 20: To authorise the Company to make donations to political parties, independent election candidates, political organisations and incur political expenditure.
Resolution 21: To authorise the Directors to hold general meetings, other than annual general meetings, on 14 clear days' notice.
Resolution 22: To ratify previous dividends.
Resolution 23: To authorise the Company to publish documents electronically.
